RELEASE AND WAIVER AGREEMENT

In consideration of my being permitted to participate in the 5K Run/2.5KWalk @ The 2025 American Clean Power Association RECHARGE Conference (the “Event”) organized by the American Clean Power Association and each of its officers, directors, employees, independent contractors, representatives, and agents (“Releasees”), I, on behalf of myself and my heirs, next of kin, successors and assigns, understand, acknowledge, represent, warrant, and fully agree to the following (the “Agreement”): RELEASE OF LIABILITY & WAIVER OF CLAIMS (a) I UNDERSTAND THAT PARTICIPATION IN THE EVENT INCLUDES, WITHOUT LIMITATION, PHYSICAL ACTIVITY INCLUDING RUNNING AND WALKING IN NATURE AND URBAN ENVIRONMENTS, WHICH PRESENT RISKS OF SERIOUS INJURY OR DEATH DUE TO PEDESTRIANS, BIKES, CARS, ANIMALS AND OTHER VEHICHLES; SIGNS, CURBS, UNEVEN SURFACES AND OTHER OBSTACLES; SLIPPING AND FALLING; AND COLD OR HOT WEATHER AND OTHER WEATHER-RELATED EVENTS; AMONTH OTHER FACTORS INHERENT IN SUCH ACTIVITIES. I ACKNOWLEDGE AND AGREE THAT I AM NOT RELYING ON ANY ASSERTION OR CLAIM BY RELEASEES OR OTHERS AS TO THE LEVEL OF DIFFICULTY RELATED TO THE EVENT OR THAT THE EVENT MAY INCLUDE GUIDES OR HAVE EMERGENCY PERSONNEL PRESENT. (b) I recognize there is always a risk of accidents occurring in any activity. I agree to release and discharge Releasees from any and all liability, claims or damages arising out of my illness, personal injury or property damage that occurs during my participation in the Event, including serious injury or death. Knowing the risks of participating in the Event, nevertheless, I hereby agree to assume full, complete and unconditional responsibility for, and risk of, bodily injury, disability, death, loss or damage to my person or property or any other type or kind of injury, damage, or risk which occurs during, arises from, or is connected to, my participation in the event, known and unknown, even if arising from the negligence of any of the Releasees or any third party and I assume full responsibility for my participation in the Event. I agree to be responsible for any medical bills incurred resulting from such illness or personal injury. (b) I hereby release, forever and unconditionally discharge and hold harmless Releasees, and agree not to sue Releasees, on account of any and all bodily injury, disability, death, or loss or damage to my person or property, now known or hereafter known, occurring during, arising from or otherwise in connection with the Event. (c) I am 18 years of age or older. I do not suffer from any condition (physical or otherwise) that could prevent me from safely participating in the Event. (d) I have read this Agreement and fully understand that by signing this Agreement I am giving up legal rights and/or remedies which may otherwise be available to me regarding any bodily injury, disability, death, loss or damage to my person or property I may sustain as a result of participation in the Event. (e) I agree to indemnify and defend Releasees from any matter arising from or otherwise in connection with an act or omission that I make during my participation in the Event, including but not limited to, any negligent acts or omissions. I acknowledge and agree that: (1) I am not required to participate in the Event, and I participate in the Event and sign this Agreement voluntarily; (2) this Agreement embodies the entire understanding between me and Releasees with respect to the matters involved herein and supersedes any previous or contemporaneous agreements or understandings with respect to such matters; (3) I agree that if any portion of this Agreement is held invalid, the remainder will continue in full legal force and effect; and (4) this Agreement shall be construed broadly to provide a release, indemnification, and waiver to the maximum extent allowed by law.
